1. Acceptance of terms
These Terms of Service ("Terms") form a binding agreement between you and MatriZone ("we", "our", or "us"). By accessing or using the MatriZone mobile application, website, or any related services (collectively, the "Service"), you agree to be bound by these Terms and our Privacy Policy.
2. Eligibility
You must be at least 18 years old and capable of entering into a legally binding contract to use MatriZone. By using the Service, you represent and warrant that you meet these requirements.
3. Your account
When you create an account you must provide accurate, current, and complete information and keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access.
We may suspend or terminate accounts that contain false information, are used for fraudulent purposes, or violate these Terms.
4. The Service
MatriZone is a platform that helps couples discover wedding vendors, plan their events, and communicate with service providers. We provide tools and information; we are not the provider of the underlying services offered by vendors listed on the platform.
We may update, modify, or discontinue features at any time. We strive to keep the Service available but do not guarantee uninterrupted access.
5. Vendors and bookings
Vendors listed on MatriZone are independent businesses, not employees or agents of MatriZone. While we take reasonable steps to verify vendor information, we do not guarantee the accuracy, quality, legality, or availability of any vendor's services.
Any contract for services is between you and the vendor directly. You should review pricing, terms, and reviews carefully before making a booking, and resolve any service-related disputes directly with the vendor.
6. Payments and refunds
Payments made through the Service are processed by third-party payment providers. By making a payment you agree to their terms in addition to ours. Pricing displayed in the app is set by the relevant vendor unless otherwise noted.
Refunds, cancellations, and rescheduling are governed by the policy of the vendor you booked with. MatriZone may assist in facilitating disputes but is not obligated to issue refunds for vendor services.
7. User content
You retain ownership of any content you submit, including reviews, photos, and messages ("User Content"). By submitting User Content, you grant MatriZone a worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, and distribute that content for the purpose of operating and promoting the Service.
You are responsible for your User Content and represent that you have the right to share it. We may remove content that violates these Terms or applicable law.
8. Prohibited conduct
You agree not to:
- Use the Service for any unlawful, fraudulent, or harmful purpose.
- Impersonate another person or misrepresent your identity.
- Post content that is abusive, defamatory, obscene, hateful, or violates the rights of others.
- Harass, threaten, or intimidate other users or vendors.
- Attempt to gain unauthorized access to the Service, other accounts, or our systems.
- Use bots, scrapers, or automated tools to access the Service without our written consent.
- Interfere with or disrupt the Service, servers, or networks.
- Reverse engineer, decompile, or attempt to extract the source code of the Service.
- Circumvent any payment, transaction, or messaging mechanism on the platform to avoid fees.
9. Intellectual property
The Service, including its design, branding, code, and content (excluding User Content), is owned by MatriZone or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes in accordance with these Terms.
10. Third-party services
The Service may include links to or integrations with third-party services. We are not responsible for the content, policies, or practices of those services. Your interactions with third parties are governed by their own terms and privacy policies.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, MATRIZONE AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) LKR 5,000.
13. Indemnification
You agree to defend, indemnify, and hold harmless MatriZone and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your User Content, or your violation of these Terms or any third-party rights.
14. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if we believe you have violated these Terms or applicable law, or if doing so is necessary to protect the Service or other users. Sections that by their nature should survive termination (e.g., intellectual property, disclaimers, liability limits) will remain in effect.
15. Governing law
These Terms are governed by the laws of Sri Lanka, without regard to its conflict-of-law principles. Any disputes will be resolved in the competent courts of Colombo, Sri Lanka, except where applicable law requires otherwise.
16. Changes to these terms
We may update these Terms from time to time. When we make material changes we will notify you through the app or by email and update the "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
